RDS Digital Assets Terms and Conditions

  1. These “Terms and Conditions” of the use of all digital assets, products, media, or any other related materials, including but not limited to materials provided in a written or recorded format, hereinafter known as “Library Materials”, offered for use by Mitigation Information Technologies DBA MIT Consulting, and its affiliated website mitigationconsulting.com (“Website”) and extends to the user and all authorized subsequent participants (“Users”).
  2. Library Materials Access Period: All Library Materials offered for use by MIT Consulting shall be accessed for the period associated with the Users’ subscription status. Any Library Materials offered for use without the requirement of payment shall be accessed indefinitely at the discretion of MIT Consulting. Premium Users shall have access determined by the purchased licenses. The Premium User access is permitted on a month-to-month basis based upon the Premium Users remaining current on their payment obligations. MIT Consulting will not renew, update, or deliver content to the Users beyond the Library Materials access period. MIT Consulting retains the right to update the access period for any reason and with notice to the User in a reasonable time frame. Users’ access shall remain active according the Users’ status unless such User violates these Terms and Conditions.
  3. Payment and Refunds: MIT Consulting does not accept cash, money orders, personal checks, cryptocurrency, or mobile payments with limited exception. Any deviation from the payment method presented to the User during the checkout process on the Website will need to be documented through an invoice, addendum, or other records at the sole discretion of MIT Consulting. MIT Consulting retains the right to change its payment terms at any time with a reasonable notification to the User. The User is entitled to a refund within 24 hours after the initial purchase after mandatory cancellation feedback is provided. Refunds will not be issued 3 days after the purchase but can be utilized as credit to be used with any other products, services, and/or materials offered for use by MIT Consulting.
  4. Intellectual Property: All Library Materials are the intellectual property of MIT Consulting. Any unauthorized use, reproduction, or distribution of the Library Materials, or any attempt to reverse engineer or create derivative works, is strictly prohibited. The Users agree to provide appropriate attribution to MIT Consulting when referencing or sharing content from the Library Materials in any public or private forum. The MIT Consulting reserves the right to update, modify, or discontinue any aspect of the Library Materials, including its structure. Notice of such changes will be provided to The User in a timely manner.
  5. Code of Conduct:
    5.1. Respectful Interaction:
    All Users are expected to engage in respectful and courteous communication. Avoid the use of offensive language, discriminatory remarks, or any form of harassment.

    5.2. Collaboration and Participation: Foster a collaborative and inclusive learning environment. Contribute constructively to discussions and group activities, respecting diverse opinions and perspectives.

    5.3. Privacy and Confidentiality: Respect the privacy of others. Refrain from sharing personal information without consent, and do not disclose confidential information shared within the Library Materials.

    5.4. Academic Integrity: Uphold high standards of academic integrity. Avoid plagiarism, cheating, or any form of dishonesty. Properly cite sources and give credit to the original authors when applicable.

    5.5. Technology Etiquette: Use technology responsibly and for use of Library Materials purposes. Avoid disruptive behavior during virtual meetings or discussions.

    5.6. Feedback and Critique: Provide feedback in a constructive and respectful manner. Accept feedback from others graciously and use it as an opportunity for improvements.

    5.7. Inclusive Language: Use language that is inclusive and considerate of diverse backgrounds and perspectives. Avoid discriminatory or exclusionary language.

    5.8. Consequences of Violations: Violations of the Code of Conduct may result in consequences, including but not limited to warnings, temporary suspension, or permanent termination of use of the Library Materials.

    5.9. Conduct Detrimental to Learning Environment: MIT Consulting may, at its discretion, terminate Users’ access to the Library Materials if their conduct is deemed to be disruptive, disrespectful, or otherwise detrimental to the learning environment, as outlined in this Code of Conduct.

    5.10. Non-Disclosure: Users agree to treat all proprietary information, discussions, and materials shared as confidential. Any unauthorized disclosure or use of such information is strictly prohibited, and violation of these terms will result in termination of access to the Library Materials.

  6. Disclaimers:

    6.1. Educational Purpose: MIT Consulting provides these Library Materials for educational purposes only. The information presented in the Library Materials is intended to be general in nature and should not be construed as professional advice.

    6.2. No Guarantee of Results: While MIT Consulting strives to provide accurate and up-to-date information, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the Library Materials for any purpose. Any reliance you place on such information is therefore strictly at your own risk.

    6.3. Individual Results May Vary: MIT Consulting does not guarantee specific results or outcomes for individuals utilizing the Library Materials. The success of each User depends on various factors, including but not limited to their background, dedication, and application of the Library Materials.

    6.4. Professional Advice: It is recommended that Users seek the advice of qualified professionals for any specific concerns or questions related to their personal, financial, legal, or professional situation.

    6.5. Technical Issues: MIT Consulting is not responsible for any technical issues or interruptions that may affect access to the Library Materials. MIT Consulting will make reasonable efforts to address and resolve technical issues promptly.

    6.6. Third-Party Content: The Library Materials may include references or links to third-party websites, products, or services. MIT Consulting is not responsible for the content, availability, or practices of these third-party entities.

    6.7. Assumption of Risk: Users acknowledge that their usage of the Library Materials is voluntary, and they assume all risks associated with such participation.

    6.8. Limitation of Liability: To the fullest extent permitted by law, MIT Consulting shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in any way connected with the use of the Library Materials.

    6.9. Acceptance of Terms: By enrolling in and accessing the Library Materials, participants acknowledge that they have read, understood, and agreed to the terms and disclaimers outlined in this clause.

  7. Extension of Terms and Conditions to Subsequent Users: By accessing the Library Materials by MIT Consulting, the original Users acknowledge and agree that the terms and conditions outlined herein extend to any persons, users, or participants who subsequently access or use the Library Materials through the original Users’ account or with their permission. These terms and conditions, including but not limited to the Code of Conduct, intellectual property rights, and any other policies set forth by MIT Consulting are binding on all individuals who gain access to the Library Materials through the original Users’ account. The original User is responsible for ensuring that any persons or users granted access to the Library Materials are made aware of and agree to comply with these terms and conditions. Any violation of these terms by subsequent users may result in consequences, including but not limited to warnings, temporary suspension, permanent removal of access from the Library Materials, or legal action, as deemed necessary and as outlined in the Code of Conduct and other relevant policies. By providing access to the Library Materials to other individuals, the original Users affirm that they have the authority to bind such users to these terms and conditions and accept responsibility for their compliance.
  8. Modifications to the Library Materials: MIT Consulting reserves the right to update or modify the Library Materials, including but not limited to the digital assets, or discontinue any aspect of the Library Materials, including its content and structure. Notice of such changes will be provided to Users in a timely manner.
  9. Termination:

    9.1. Violation of Terms: MIT Consulting reserves the right to terminate a User’s access to the Library Materials immediately and without prior notice if the User breaches any of the terms and conditions outlined in this agreement, including but not limited to violations of the Code of Conduct.

    9.2. Non-Payment: Failure to make payment for the required usage fees within the specified timeframe may result in termination of access to the Library Materials.

    9.3. Refund Policy Violation: MIT Consulting reserves the right to terminate access to the Library Materials if a participant violates the refund policy outlined in the terms and conditions.

    9.4. No Refund for Termination: In the event of termination, whether initiated by MIT Consulting or the User, no refunds for prior received fees will be provided to the User.

    9.5. Procedure for Termination: In the event of termination, MIT Consulting will notify the User via email and provide an explanation for the termination. The User will be required to cease all use of Library Materials immediately.

    9.6. Appeals Process: Users who believe that termination was unjust may submit an appeal in writing to MIT Consulting within 24-48 hours. MIT Consulting will review the appeal and respond in a timely manner.

    9.7. Effect of Termination: Termination of access to the Library Materials does not relieve the User of any obligations or liabilities incurred prior to the termination.

  10. Modification of Terms: MIT Consulting reserves the right to modify the termination clause and associated policies at any time. Users will be notified of any such changes.
  11. Governing Law: In the event of a dispute arising from or relating to the Terms and Conditions, the parties agree that the sole dispute resolution procedure available to them shall be binding arbitration conducted by JAMS. The prevailing party in any such dispute resolution proceeding shall be entitled to an award of its attorneys’ fees and costs. The exclusive venue for any dispute resolution proceeding arising from or relating to this Agreement shall be in Hillsborough County, Florida. The Terms and Conditions shall be interpreted and applied in accordance with Florida law. A Party’s failure to enforce a right under this Agreement shall not be deemed a waiver of such Party’s right to enforce that right for any prior or future violation relating to the right.
  12. Communication: MIT Consulting will communicate any changes and updates made to the system, website or Library Materials with the Users through their account, phone, and email provided during checkout or registration.
  13. Intellectual Property:

    13.1. Ownership of Library Materials: All Library Materials and materials, including but not limited to text, videos, graphics, and any other content provided to the User or placed on the Website, are the intellectual property of MIT Consulting.

    13.2. License to Participants: Subject to compliance with these terms and conditions, the MIT Consulting grants Users a non-exclusive, non-transferable license to access and use the Library Materials solely for personal and educational purposes.

    13.3. Restrictions on Use: Users are expressly prohibited from reproducing, distributing, modifying, or selling the Library Materials without the explicit written consent of the Owner.

    13.4. Attribution: In the event of permitted distribution of any portion of the Library Materials, Users agree to provide appropriate attribution to MIT Consulting when referencing or sharing content from the Library Materials in any public or private forum.

    13.5. User-Generated Content: Any content generated by Users within the Library Materials, such as comments, discussions, or assignments, shall be the property of MIT Consulting.
    Additionally, MIT Consulting reserves the right to moderate, remove, or use such content as permitted by law.

    13.6. Duration of License: The license granted to Users is effective for the duration of the purchased access. Any termination of access to the Library Materials will result in the immediate revocation of the license.

    13.7. Infringement Reporting: Users are encouraged to report any suspected infringement of intellectual property rights related to the Library Materials. MIT Consulting will investigate and take appropriate action in response to such reports.
